Terms of Service

Welcome to Vocally, operated by SL:IT ("we", "us", "our"). These Terms of Service ("Terms") govern your use of the Vocally software application ("Software") and any related services, including paid subscription plans. By downloading, installing, or using the Software, you agree to be bound by these Terms.

1. Software License

Vocally is licensed under the GNU Affero General Public License v3.0 (AGPL-3.0). The source code is available under the terms of that license. Your use of the Software is subject to the AGPL-3.0 and these Terms. Third-party components included in the Software may be licensed under their own respective licenses.

2. Accounts

2.1 Optional Registration

Vocally can be used without an account for local-only features. However, certain features — including cloud synchronization, subscription plans, and usage tracking — require account registration.

2.2 Account Creation

You may create an account using:

  • Email and password
  • Google OAuth
  • Kakao OAuth

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Local Installation & Use

The Software runs locally on your device. All transcription and text processing is performed entirely by AI and machine learning models — either on your device or via cloud-based AI APIs. No human operators, transcribers, or reviewers are involved at any point. Vocally is a fully automated digital software product with no human-driven services.

You are responsible for:

  • Ensuring your device meets the Software's system requirements
  • Maintaining the security of your local installation
  • Managing any data you create or store using the Software
  • Backing up your local data as needed

4. Third-Party Services

4.1 Cloud Transcription Providers (Optional)

The Software integrates with the following optional third-party transcription services:

  • Groq — for Whisper-based cloud transcription and AI text processing
  • AssemblyAI — for real-time streaming transcription
  • Deepgram — for real-time streaming transcription

If you choose to use any of these services:

  • You are responsible for obtaining your own API credentials
  • Your use of these services is subject to their respective terms of service and privacy policies
  • We are not responsible for their service availability, performance, or data practices
  • API keys and credentials are stored locally on your device in encrypted form

4.2 Infrastructure Services

The Software uses the following services for core functionality:

  • Supabase — for user authentication and account data storage
  • Polar — for subscription payment processing
  • Mixpanel — for anonymized usage analytics

4.3 Your Responsibility

You are solely responsible for your use of any third-party services integrated with the Software.

5. Acceptable Use

You agree to use the Software:

  • In compliance with all applicable laws and regulations
  • In a manner that respects the rights of others
  • Without attempting to circumvent subscription restrictions or usage limits
  • Without using the Software for any unlawful, harmful, or fraudulent purpose

6. Intellectual Property

6.1 Ownership

The Vocally name, branding, and original modifications by SL:IT are the property of SL:IT. The underlying source code is based on voquill by Handaptive Software, LLC and is licensed under the AGPL-3.0. All rights not expressly granted in these Terms or the AGPL-3.0 are reserved by their respective owners.

6.2 Trademarks

The "Vocally" name, logo, and associated branding are trademarks of SL:IT. You may not use these trademarks without our prior written permission.

6.3 Your Content

You retain all rights to any audio, transcriptions, or other content you create using the Software. We do not claim any ownership of your content.

7. Payment and Subscriptions

7.1 Plans

Vocally offers a free tier and optional paid subscription plans (Pro). Paid plans unlock additional features and higher usage limits.

7.2 Billing

Payments are processed by Polar, our merchant of record. By purchasing a subscription, you also agree to Polar's Terms of Service. All prices are listed in USD.

7.3 Free Trial

If a free trial is offered, you will not be charged until the trial period ends. You may cancel at any time during the trial without being charged.

7.4 Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to Pro features until the end of your current billing period.

8. Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that:

  • The Software will be error-free or uninterrupted
  • Defects will be corrected in a timely manner
  • The Software is free from viruses or other harmful components
  • Results obtained from using the Software will be accurate or reliable
  • Third-party transcription services will be available or accurate

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SL:IT SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or other intangible losses
  • Damages resulting from your use or inability to use the Software
  • Damages resulting from unauthorized access to your data
  • Damages resulting from third-party services (including Groq, AssemblyAI, Deepgram, or Polar)

10. Indemnification

You agree to indemnify and hold harmless SL:IT, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses arising from:

  • Your use of the Software
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your use of third-party services

11. Support

Support is provided at our discretion via email. There is no service level agreement, guaranteed response time, or technical support obligation.

12. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with a new "Last updated" date. Continued use of the Software after changes constitutes acceptance of the revised Terms.

13. Termination

We reserve the right to suspend or terminate your account and access to the Software at any time, with or without cause, including for violation of these Terms. Upon termination, your right to use the Software ceases immediately.

14. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflicts of law principles.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and SL:IT regarding the Software.
